1. Effect of These Terms

All products sold and services provided by Valvo Electrical Supply Ltd. ("Valvo", "Seller", "we", "us", or "our") to any customer ("Customer", "you", or "your") are governed by these Terms and Conditions of Sale ("Terms"), regardless of any conflicting or additional terms contained in a purchase order or any other customer document.

These Terms apply whether you place an order through our website, in person, by phone, fax, or email. These Terms may only be modified with our express written consent.

Our acknowledgment of an order, or failure to object to conflicting purchase order terms, does not constitute acceptance of those terms or a waiver of these Terms.

By placing an order or accepting products or services from Valvo Electrical Supply Ltd., you agree to these Terms and Conditions.

2. Quotes and Pricing

Quotes, price lists, and other pricing information provided by Valvo are invitations to order and are not binding offers to sell.

• No order is complete until accepted by Valvo.
• We reserve the right to accept or reject any order, in whole or in part.
• Prices are subject to change without prior notice unless otherwise agreed in writing.
• Products will be billed at the price in effect at the time of shipment or pickup.
• Clerical or pricing errors may be corrected at any time.
• Product availability depends on stock available when the order is accepted.

3. Payment

Payment is due at the time an order is placed unless you have an approved trade account with agreed payment terms.

Approved trade accounts may receive Net 30 payment terms, subject to a completed credit application and approval by Valvo.

• Full payment is due within 30 days of the invoice date.
• We may require payment before delivery or pickup.
• Credit terms may be revised or withdrawn at our discretion.
• Orders may be withheld if we reasonably believe payment cannot be made.
• Overdue accounts may incur interest charges.
• Credit privileges may be suspended for overdue accounts.
• Customers are responsible for reasonable collection costs.

4. Taxes and Duties

Unless otherwise agreed in writing, prices do not include applicable taxes, duties, tariffs, or similar governmental charges.

All applicable taxes and duties will be added to your invoice, and you are responsible for paying these amounts.

5. Order Changes and Cancellations

Orders accepted by Valvo, including special orders, cannot be cancelled or modified without our prior written approval.

If cancellation is approved, you agree to reimburse Valvo for any costs, losses, or expenses resulting from the cancellation.

6. Returns

Please contact Valvo before returning any product. Return eligibility depends on the product and its condition.

• Returns require prior authorization.
• Items must generally be new, unused, in original packaging, and accompanied by proof of purchase.
• A 25% restocking fee applies to eligible returns unless caused by our error or a manufacturer defect.
• Special orders, custom orders, and reconditioned products are generally non-returnable unless defective.

7. Shortages, Errors, and Discrepancies

Any claim regarding shortages, incorrect shipments, or discrepancies must be submitted to Valvo in writing as soon as reasonably possible and no later than 48 hours after receiving the shipment.

If the affected product is temporarily unavailable, we may offer suitable alternative products for your consideration.

8. Title and Risk of Loss

Unless otherwise agreed in writing, the risk of loss or damage transfers to the customer when the product is shipped or, for in-store pickup, when the product is made available for collection.

Customers agree to indemnify and hold Valvo harmless from any claims arising after risk has transferred.

9. Delivery, Shipping, and Pickup

Delivery dates and shipping schedules are estimates only and are not guaranteed.

• Valvo is not responsible for delays caused by couriers, suppliers, weather, labour disruptions, or events beyond our reasonable control.
• Orders may be delivered in partial or split shipments.
• Transportation and shipping charges are the customer's responsibility unless otherwise agreed.
• Customers should inspect all shipments immediately upon receipt.
• Any transportation damage must be reported to the carrier immediately, with supporting evidence provided to Valvo.

10. Wire and Cable Tolerances

Wire and cable products may vary in manufacturing length by up to plus or minus 10%.

Orders for these products will be shipped and invoiced accordingly, and acceptance of the shipment confirms acceptance of these standard manufacturing tolerances.

11. Our Role as a Distributor

Valvo acts solely as a distributor of new products and is not the manufacturer of the goods it sells.

For reconditioned products, our reconditioning process does not make Valvo the original manufacturer.

Manufacturers and suppliers are independent parties and are not employees, agents, or subcontractors of Valvo. Accordingly, Valvo disclaims responsibility for product design, manufacturing, or fabrication performed by those parties.

12. Warranties

Valvo warrants only that it has legal ownership of the products sold and the right to transfer ownership to the customer.

Any manufacturer warranty belongs solely to the manufacturer or supplier. Where permitted, Valvo assigns any transferable manufacturer warranty rights to the customer.

Reconditioned products are sold AS IS unless otherwise stated in writing.

Except where required by law, Valvo makes no additional warranties, whether express or implied, including warranties of merchantability or fitness for a particular purpose.

Technical advice or recommendations provided by Valvo are for customer convenience only and do not create any warranty.

If a valid warranty claim exists, the customer's exclusive remedy is limited to one of the following:

• Repair of the product.
• Replacement of the product.
• Refund of the original purchase price.

Valvo is not responsible for removal, installation, reinstallation, labour costs, or consequential losses associated with warranty claims.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Valvo shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:

• Loss of profits.
• Business interruption.
• Loss of use.
• Any other consequential financial damages.

Valvo's total liability arising from any order shall never exceed the amount paid by the customer for the specific product or service giving rise to the claim.

Nothing in this section limits liability that cannot legally be excluded under the laws of Alberta or Canada.

14. Force Majeure

Valvo shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control.

These circumstances include, but are not limited to:

• Natural disasters.
• Labour disputes or strikes.
• War or terrorism.
• Government actions or regulations.
• Tariff or duty changes.
• Material shortages.
• Supply chain disruptions.
• Severe weather conditions.
• Courier or transportation service disruptions.

If such events occur, Valvo may suspend performance, revise pricing, or adjust delivery schedules without incurring liability.

15. Website Use

Your access to and use of valvo.ca is also governed by our Website Terms and Conditions and Privacy Policy, which are incorporated into these Terms by reference.

Valvo reserves the right to:

• Limit sales of certain products.
• Restrict quantities available for purchase.
• Limit sales to particular customers or regions.
• Refuse or cancel any order due to suspected fraud, pricing errors, or product unavailability.

16. Governing Law and Jurisdiction

These Terms and all purchases made through Valvo are governed by the laws of the Province of Alberta and the applicable federal laws of Canada.

Any legal dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Alberta, Canada.
